What are you buying?

Funding for your next business move.

An existing business

Take over an established operation.

A business to expand

Grow through a complementary acquisition.

A partner’s share

Buy out a partner or shareholder.

A franchise or practice

Purchase a franchise or professional practice.

Beyond the purchase price

Leave room to run the business.

Settlement is the start. Stock, transaction costs and the first weeks of trading need to be covered too.

Purchase price+Stock adjustments+Transaction costs+Working capital−Buyer contribution=Funding requirement

Check what the agreed price already includes so stock or other costs are not counted twice. The required funding may be split across more than one facility and is not necessarily the amount a lender will approve.

Lender-ready preparation

Six things we assess.

01

Sustainable earnings

What the business can repay after realistic operating costs, owner remuneration and existing commitments.

02

Your contribution

Available cash or equity, transaction costs and the cash reserve left after settlement.

03

Your experience

Your industry background, management capability and plan for taking over the business.

04

Price and goodwill

What is included in the sale and the evidence supporting the price, including goodwill.

05

Security and guarantees

Available property or business assets, proposed guarantees and what you would be committing.

06

Business continuity

Lease terms, licences, key staff, major customers and the seller’s handover arrangements.

Talk through your transaction

The funding mix

One purchase. Different ways to fund it.

We investigate the options that fit your transaction. A combination may work better than putting every cost into one loan.

Property-secured finance

Residential or commercial property equity may support the purchase where the lender accepts the purpose and repayment capacity. The property is at risk if the loan cannot be repaid.

Business cash-flow and goodwill lending

Some lenders assess sustainable earnings and the strength of the business, rather than relying only on property. Goodwill is the value beyond tangible assets, such as reputation and customer relationships; funding depends on the industry and transaction.

Equipment finance

Eligible vehicles, plant and equipment may be financed separately from goodwill. We check asset eligibility and existing security interests.

Working-capital facilities

Stock, wages and day-to-day expenses can require a separate facility or cash reserve. The purchase loan alone may not cover the transition.

Vendor finance

The seller may agree to receive part of the price over time. Terms, repayment priority and acceptance by other lenders need to be agreed; it is not available in every purchase.

The BYRONS perspective

Finance that fits the broader business picture.

As part of BYRONS’ accounting and advisory group, we understand that acquisition funding needs to work alongside the business’s financial performance, purchase structure and ongoing cash flow.

We coordinate the finance with your accountant and solicitor. Where appropriate, we can introduce BYRONS advisers for separately scoped due diligence or tax advice.

Lender approval is not a substitute for independent financial and legal due diligence.

Before you apply

Your questions, answered.

How much deposit or contribution will I need?

There is no single percentage for every business purchase. It depends on earnings, industry, price, security, your experience and the lender’s policy. We assess both your contribution to the purchase and the reserve needed to operate afterwards.

Can I buy a business without property security?

Potentially. Suitable cash-flow, goodwill or specialist lending may be available for some transactions. Strong earnings do not automatically mean approval, and business security or personal guarantees may still be required.

Can the business’s profits support the loan?

Lenders may consider the target business’s sustainable earnings, supported by historical financials and current trading. We examine owner wages, proposed changes, existing debt and realistic forecasts. Seller-stated profit or projected growth alone may not be accepted.

Can goodwill be financed?

Potentially, where a lender accepts the industry, valuation and earnings profile. Goodwill is assessed differently from property or equipment, so it can affect the required contribution, loan term and security.

Can I finance a partner or shareholder buyout?

Potentially. The business’s cash flow, ownership arrangements, price and proposed borrower must fit the lender’s requirements. Your accountant and solicitor should review the transaction and ownership structure alongside the finance.

What documents should I prepare?

Usually the sale information or draft contract, historical financial statements and tax records, current management accounts or BAS, a breakdown of the price and stock, lease details, your experience and evidence of your contribution. Forecasts, a business plan and existing debt details may also be required. We tailor the checklist to the transaction.

Can vendor finance form part of the purchase?

It may be possible if the seller agrees and the other lender accepts the arrangement. Repayment timing, security ranking and total debt commitments must work together.

When should I speak to a broker?

Ideally when you have a target business or a realistic purchase budget, before making an unconditional commitment. Early assessment helps identify the funding gap and documents needed. Ask your solicitor about appropriate finance and due-diligence conditions.
